Terms of Use

Effective Date: [effective date] • Last Updated: October 27, 2026

1. Acceptance of these Terms

These Terms of Use ("Terms") are a legal agreement between you and [legal entity name] ("heallium," "we," "us," or "our"). They cover your use of heallium.io and every related service (the "Service").

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service for a brokerage or agency, you agree on its behalf and confirm you have the authority to do so. If you do not agree, do not use the Service.

2. Who the Service is for

heallium is a business tool for health insurance brokers, agents, consultants and general agencies who quote employer group health coverage. You must be at least 18 years old and hold any license your work requires in the states where you do business.

The Service is not offered to consumers for their own coverage, and it is not an insurance company, an exchange or a general agency.

3. What the Service does

The Service helps you prepare group quotes. It reads the census and documents you upload, produces a member-level census in the layout a carrier or general agent asks for, lists what is still missing, drafts the emails that request it, reads the quotes you receive, compares them with the group's current plans and renewal, prepares a proposal, lists compliance rules that may apply to the group, and answers questions about a group's documents.

You remain the professional. Everything the Service produces is a draft for your review. It can be incomplete or wrong, for example when a document is hard to read or a carrier format is new. Check every census, comparison, email and proposal before you rely on it or send it. The Service does not give insurance, legal, tax or medical advice, and it does not recommend coverage to any individual.

4. Your clients' information

Censuses and plan documents contain personal and health-related information about employees and their dependents ("Client Data"). By uploading Client Data you confirm that you are allowed to share it with us for the purpose of quoting and servicing the group, and that you upload no more of it than that purpose needs.

We process Client Data only to provide the Service to you, as described in the Privacy Policy. We do not sell it, use it for advertising, or use it to train artificial intelligence models.

If you are a covered entity or business associate under HIPAA and need a business associate agreement with us, contact us at support@heallium.io before you upload protected health information.

5. Your account

Give accurate information when you sign up and keep it current. Each account is for one person: do not share your login. Two-factor authentication is required before any tool that shows Client Data can be used.

You are responsible for what happens under your account. Tell us right away at support@heallium.io if you think someone else has used it.

6. Emails sent on your behalf

When you choose to send a quote request, a request to an employer, a compliance reminder or a proposal, the Service sends it from a heallium address with your name as the sender, you in copy, and your address as the reply-to. You choose the recipients and you are responsible for the content and for having a business reason to write to them. Do not use the Service to send unsolicited marketing.

7. Acceptable use

Do not use the Service to break the law or anyone's rights; upload malware or content you have no right to share; probe, scan or test its security, or get around its access controls or limits; copy, scrape or resell it; reverse engineer it except where the law allows; or interfere with other users.

8. Fees

The Service is currently offered without charge. If we introduce fees, we will tell you in advance and you can decide whether to continue.

9. Intellectual property

We own the Service, its software and its design. You keep every right you have in the files and information you upload, and you own the censuses, emails and proposals you create with it. You give us the limited permission we need to host and process them to run the Service for you.

10. Services we rely on

The Service runs on Google Cloud, uses Anthropic's Claude models through Google Cloud Vertex AI for document reading and questions, SendGrid to send email and Twilio to send sign-in codes, and lets you sign in with Google or Microsoft. Their availability is outside our control. The Privacy Policy explains what each of them receives.

11. Disclaimers and limitation of liability

The Service is provided "as is" and "as available." To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, and we do not promise that the Service will be uninterrupted, error-free or that its output will be accurate or complete.

To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, business or data, and our total liability for any claim about the Service is limited to the greater of the amount you paid us in the 12 months before the claim and one hundred US dollars.

12. Indemnification

You will defend and indemnify us against claims arising from Client Data you uploaded without the right to do so, from the emails and proposals you sent through the Service, or from your breach of these Terms.

13. Ending your use

You can close your account at any time from Settings. Closing it deletes your saved censuses, documents, templates and broker settings right away, and removes your personal details from the account record. We may suspend or end your access if you break these Terms or if we must to protect the Service, other users or your clients.

14. Changes to these Terms

For a material change we will email you at least 30 days before it takes effect. After it takes effect, you will be asked to accept the updated Terms the next time you sign in. If you decline, your account is closed as described in section 13.

15. Governing law

These Terms are governed by the laws of [governing state], without regard to its conflict of laws rules. [Venue and dispute resolution terms to be confirmed by counsel.]
